Public Offer for the Provision of Services
Publication date: 30 September 2025. Last updated: 19 July 2026.
This document is a public offer by IE Filippov D.S. (the “Provider”) and sets out the essential terms under which the Provider offers access to the vega.chat service to any individual or legal entity (the “User”).
In accordance with the UNIDROIT Principles of International Commercial Contracts and the United Nations Convention on the Use of Electronic Communications in International Contracts, by performing actions constituting acceptance (as described in Section 4) and paying for the Services, the person accepting this offer becomes a User, and the Provider and the User together become the Parties to this agreement.
1. TERMS AND DEFINITIONS
1.1. Offer — this document, published on the Internet at: https://vega.chat/terms.
1.2. Acceptance — full and unconditional acceptance of the terms of this Offer by the User through the actions specified in Section 4.
1.3. Service — the software and hardware platform accessible at https://vega.chat that provides the User with an interface for sending text prompts to AI models and receiving machine-generated responses.
1.4. Services — the granting by the Provider to the User of a limited right of access (licence) to the functionality of the Service in accordance with the Stars purchased.
1.5. Third-party AI Services — artificial intelligence and neural network technologies provided by third parties (providers), whose API access is facilitated by the Provider through the Service.
1.6. Dashboard — the section of the Service where the User can view their payment history.
1.8. Star Pack — a set of Stars purchased by the User at a set price. Current Star Packs are listed at: https://vega.chat/pricing.
1.9. Stars — the internal currency of the Service used to pay for Services. Stars are purchased by the User on a prepayment basis. Stars are valid for 3 (three) months from the date of purchase. Upon expiry of this period, unused Stars expire and are not subject to restoration or refund.
2. SUBJECT OF THE AGREEMENT
2.1. The Provider undertakes to provide the User with information-technology Services consisting of access to the Service interface for interaction with Third-party AI Services, and the User undertakes to pay for these Services.
2.2. Nature of the Service: vega.chat acts as a technological intermediary (proxy interface). The Service receives the User's request, forwards it to a neural network model for processing, and displays the machine-generated result.
2.3. Status of the Service:
2.3.1. The Service is an information and reference system. It is not a messaging platform, as it is not designed for and does not provide the technical capability for exchanging messages between users. Communication occurs exclusively in a “User — Artificial Intelligence” format.
2.3.2. The Service is not a search engine. The “Web” feature performs analytical processing of publicly available data by a neural network to support its responses with links to Internet resources (RAG technology — Retrieval Augmented Generation) and is not a directory of links.
2.4. This Offer governs the relationship only when paid Services are used (when Star Packs are purchased). Use of free modes is provided on an “as is” basis without creating any obligations.
2.5. Free Models. When using free AI models, the User acknowledges and agrees that data transmitted to such models may be used by AI providers to train and improve their systems. By using free models, the User assumes all risks associated with the information they provide and undertakes not to transmit confidential, personal or other protected data.
3. RIGHTS AND OBLIGATIONS OF THE PARTIES
3.1. The Provider shall:
3.1.1. Provide access to the Service after confirmation of payment for the internal currency (Stars).
3.1.2. Take reasonable technical measures to ensure the Service operates around the clock.
3.2. The Provider has the right to:
3.2.1. Modify the scope of Services. Given the dynamic development of the AI field, the Provider may replace available neural network models, change their versions or add new features to improve service quality, without prior agreement with the User.
3.2.2. Change pricing. Modify the cost of Star Packs unilaterally, without notifying Users.
3.2.3. Suspend access. Temporarily suspend the Service for maintenance, as well as in cases of accidents, DDoS attacks or failures on the side of Third-party AI Service providers.
3.2.4. Terminate the agreement. Block the User and terminate the agreement unilaterally, with a refund for unused units of payment (Stars), provided the violation did not cause damage to the Provider.
3.3. The User shall:
3.3.1. Pay for the Services in a timely manner.
3.3.2. Comply with applicable law. Not use the Service to generate content that violates applicable international law (extremism, illegal pornography, drug propaganda, incitement to violence and other prohibited materials). All responsibility for the content of prompts lies with the User.
3.3.3. Maintain the confidentiality of their login credentials (email and password). Actions performed in the Dashboard are deemed to be performed by the User.
3.4. The User has the right to:
3.4.1. Purchase Star Packs at the prices published on the pricing page. Stars are valid for 3 (three) months from the date of purchase. After this period, unused Stars expire.
3.4.2. Dispute a Star Pack purchase if it has not been used within 1 (one) month from the payment date. To do so, the User sends a request from the email address associated with their account to [email protected] requesting a refund for the erroneous payment, with the purchase receipt attached. The refund is processed within 7 (seven) calendar days.
4. ACCEPTANCE OF THE OFFER
4.1. Acceptance is constituted by the User paying for the selected Star Pack.
4.2. By performing Acceptance, the User warrants that:
a) they are of full legal capacity and have reached the age of 18;
b) they understand that responses are generated by artificial intelligence, may be inaccurate and require verification;
c) they agree to the Privacy Policy (https://vega.chat/privacy-policy).
5. PRICING AND PAYMENT
5.1. The cost of the Services is determined by the price of the Star Pack purchased.
5.2. Payment is made on a 100% prepayment basis.
5.3. The Provider does not store or process bank card data. Payment processing is handled by a licensed payment provider.
6. LIMITATION OF LIABILITY (DISCLAIMER)
6.1. Technological neutrality. vega.chat provides only a technical interface. The Provider is not the developer of the neural network models and does not control their algorithms.
6.2. No guarantee of accuracy. The Provider warns, and the User agrees, that information generated by the Service:
— May be inaccurate, fabricated or imprecise.
— Is not professional advice (legal, medical, financial or otherwise).
The User must independently verify facts obtained from the Service before using them.
6.3. Content liability. The Provider is not responsible for the content generated by AI, as it is formed automatically without prior moderation by the Provider.
6.4. Search disclaimer. When using web-page analysis features (Web search), the Service does not rank results or advertise third parties. The Service acts as a gateway to a RAG (Retrieval Augmented Generation) system.
6.5. The Provider is not liable for any indirect damages or lost profits of the User. The aggregate liability of the Provider under any claim is limited to the amount paid by the User for the purchase of the internal currency of the Service.
7. FORCE MAJEURE AND TECHNICAL RISKS
7.1. The Parties are released from liability for non-performance of obligations in the event of force majeure circumstances.
7.2. Such circumstances, in addition to classic events (natural disasters, wars, armed conflicts), include:
Technical failures and restrictions on the side of AI providers (OpenAI, Anthropic, Google, etc.);
Blocking of IP addresses or access to Third-party AI Services by government authorities or international sanctions;
Global or local Internet failures, routing issues, DDoS attacks.
Internet access restrictions by any third party.
7.3. If an AI provider ceases to serve a region or introduces technical blocks, the Provider undertakes to take all possible measures to restore access; however, temporary lack of access during this period is not considered a breach of the agreement.
8. DISPUTE RESOLUTION AND TERMINATION
8.1. All claims shall be sent to [email protected]. The response time is up to 10 business days, unless a different period is expressly established by this Offer.
8.2. Disputes not resolved through pre-litigation proceedings shall be resolved in accordance with the UNIDROIT Principles and the norms of international private law. The applicable law shall be determined by agreement of the Parties; failing such agreement, by generally recognised principles of international commercial law.
8.3. The agreement may be terminated by the User at any time. Stars purchased remain valid until their expiry (3 months from the date of purchase), after which they expire.
